ARTICLE 1. PURPOSE

This shipping policy sets out the terms and conditions applicable to the shipment of a Product to the Customer by the Publisher.

ARTICLE 2. PARTIES

This shipping policy applies between Vanillia, SARL, share capital: 100 €, registered with the RCS of PAU in France on 02/25/2020, under number 881894711, registered office: 9 rue de La Croix du prince, France, phone: +33614131312, email: hello@vanillia.com, EU VAT number: FR27881894711, hereinafter referred to as "the Publisher," and any individual or entity, whether private or public, registered on the Site to purchase a Product, hereinafter referred to as "the Customer."

 

ARTICLE 3. DEFINITIONS

"Customer": any individual or entity, whether private or public, registered on the Site.

"Site Content": any kind of material published on the Site, whether protected by intellectual property rights or not, such as texts, images, designs, presentations, videos, diagrams, structures, databases, or software. 

"The Publisher": Vanillia, SARL in its capacity as publisher of the Site.

"User": any individual or entity, whether private or public, connecting to the Site.

"Product": any type of good sold on the Site by the Publisher to Customers.

"Site": the website accessible at the URL vanillia.com, as well as related sub-sites, mirror sites, portals, and URL variations.

ARTICLE 4. SCOPE OF APPLICATION

The Site is open and free to access for all Internet users. Browsing the Site implies that any Internet user accepts this shipping policy. Simply connecting to the Site, by any means whatsoever, including via a robot or browser, constitutes full and complete acceptance of this shipping policy. When registering on the Site, this acceptance will be confirmed by checking the corresponding box.

By doing so, the Internet user acknowledges having fully read and accepted these terms without restriction. 

Checking the above-mentioned box will be considered as having the same value as a handwritten signature by the Internet user. The Internet user acknowledges the evidential value of the Publisher’s automatic recording systems and, unless they provide proof to the contrary, waives the right to contest them in case of a dispute.

This shipping policy applies to the relationship between the parties to the exclusion of all other conditions, especially those of the Internet user.

Acceptance of this shipping policy requires that Internet users have the necessary legal capacity, or, failing that, have the authorization of a guardian or curator if they are incapacitated, of their legal representative if they are minors, or that they hold a mandate if acting on behalf of a legal entity.

ARTICLE 5. DELIVERY 

5.1. Delivery Fees

Delivery or availability fees will, in any case, be indicated to the Customer before any payment and apply only to deliveries made within mainland France, including Corsica. For any other delivery location, the Customer must contact customer service.

If the Product is delivered to the Customer in-store or at a partner location of the Publisher, the related fees will be specified to the Customer at the time of ordering.

The delivery fees listed on the Site are shown in euros, all taxes included.

5.2. Delivery Timeframe

Orders are delivered by Amazon, Amazon within 2 business days from the full receipt of payment by the Publisher.

However, certain products or order volumes may justify a delivery timeframe longer than 2 business days. This will be expressly stated to the Customer when the order is confirmed.

5.3. Damaged Package

If a package is clearly and visibly damaged upon delivery, the Customer must refuse it in order to benefit from the carrier’s warranty. The Customer must also inform the seller without delay, so that a new package can be prepared and shipped as soon as the damaged package is received back. In such cases, the delivery times stated above in these general conditions will no longer apply.

5.4. Retention of Title – Transfer of Risk

Ownership of delivered Products remains with the Publisher until the Products are delivered to the Customer, notwithstanding any contrary clause, unless the parties have specifically and expressly agreed in writing to waive this clause.

The Customer assumes all risks related to the Products from the time of ordering. For the entire duration of the retention of title, the Customer must insure, at their own expense, the Products owned by the Publisher against any potential damage and provide proof of such insurance to the Publisher upon first request.

ARTICLE 6. FINAL PROVISIONS

6.1. Governing Law

This shipping policy is subject to French law.

6.2. Amendments to this Shipping Policy

This shipping policy may be modified at any time by the Publisher. The shipping policy applicable to the Customer is the one in effect on the day of their order or connection to the Site; any new connection to the personal space implies acceptance, where applicable, of the new shipping policy. 

6.3. Disputes

Pursuant to Ordinance No. 2015-1033 of August 20, 2015, any disputes with a consumer Customer that may arise in connection with the execution of these general conditions and which cannot be resolved amicably between the parties must be submitted to Medicys: www.medicys.fr.

In addition, the consumer Customer is informed of the existence of the online dispute resolution platform, accessible at the following URL: https://ec.europa.eu/consumers/odr/main/?event=main.home2.show

Any dispute relating to this contract or in connection with it shall be settled by arbitration in accordance with the rules of the Digital Institute of Arbitration and Mediation: www.fast-arbitre.com.

6.4. Entirety

The invalidity of any provision of this contract shall not result in the invalidity of the other provisions of the contract or of the contract as a whole, which shall remain in full force and effect. In such a case, the parties shall, to the extent possible, replace the invalidated provision with a valid one that reflects the spirit and purpose of these terms.

6.5. No Waiver

The failure of the Publisher to exercise any of the rights granted to it herein shall in no way be construed as a waiver of such rights.

6.6. Telemarketing

The Customer is informed that they have the option to register on the national "do not call" list at http://www.bloctel.gouv.fr/

6.7. Languages of This Shipping Policy

This shipping policy is provided in French.

6.8. Unfair Terms

The provisions of this shipping policy apply subject to compliance with the mandatory provisions of the Consumer Code regarding unfair terms in contracts between a professional and a consumer.
